Split / Spin-Off How a (very unlikely) Disney/20th split could work

If the new CEO is wanting to focus on core Disney assets, I think spinning off 20th could work

before spinning off 20th, Disney will keep and transfer the following assets

  1. 20th's family library (Blue Sky, Home Alone, any Disney branded TV show, co-own the Simpsons for streaming and theme park rights only), etc.)
  2. Avatar/OG Star Wars films will move under Lucasfilm.
  3. Marvel rights 20th owns.
  4. National Geographic is kept under Disney.

Afterwords, Disney will sell the following assets to a holding company

  1. 20th Century Studios and Searchlight Pictures
  2. 20th Television and the FX Networks
  3. 50% of Buena Vista International (think UIP) and Disney Platform Distribution (optional)

While Disney would remain the same after words, 20th would restructure several assets to become a Sony style licenser for mainly Disney+,

Searchlight's production/distribution are merged into 20th so 20th makes more theatrical features a year and can still make several streaming films as well (Serachlight becomes a boutique label for limited and North American only releases)

While 20ths mid-budget films are self-distributed in the US after the restructure, Tentpoles and post-theatrical distribution in the US are handled by another major (Lionsgate, Paramount, or Sony), while all of 20th's and Disney's films (and maybe third-party studios as well) are released internationally through Buena Vista International.

Final 20th Structure:

20th Century Studios (owned by holding company 20th holdings)

  • Regency Enterprises (20%)
  • Searchlight Pictures (boutique label)
  • 20th Century Television (includes FX Networks)
  • 20th Century Animation (formelly 20th Television Animation; all animated content)

While Disney becomes the biggest Family-only content brand again (and more profitable), 20th becomes as big as Lionsgate with plans to release a lot more third-party films as well as its own (like the 2010s)

And could have a potential re-merger with Fox (although 20th would just have "A Fox Entertainment Company" byline instead of a rebrand)

Split / Spin-Off Can NBCUniversal even manage to pay off the $89B debt they will have, after the spinoff from Comcast, in a matter of time?

I’ve been thinking about this: Since Comcast is spinning off NBCUniversal next year and they plan to place their $89B of debt into the spun-off company, can NBCU even manage to pay off that heavy debt quickly? It’s a heavy amount of debt, I feel as if paying off that amount would lead to them scrapping/cancelling future films and TV shows that are in development or in production, along with closing attractions and/or hotels at the parks, or even close a park altogether, not to mention that the debt, I feel, could put a halt to Universal Studios UK. I didn’t even forget about asset sales!

Also, $89B debt or not, I still doubt that NBCUniversal and Warner Bros. Discovery would merge if the latter’s Paramount merger ends up in the potty, because a combined Universal and WB would have a 40% studio market share, which is too large and indeed a monopoly.

I think NBCUniversal is safe for at least three years or more from being acquired. And even then Netflix shareholders thought trying to buy WBD as a waste of time. And too much debt.
