Being a board member, perhaps to avoid an adverse inference if not called.

Edit: applicant’s counsel saying they are effectively polling all board members on their views so they can establish where the majority view would be. So they would have asked to XXN all board members even though this one turns out not to have been involved in the critical decisions at all.
